1. License Grant
AROUND HR (“the Tool”) is provided by Think Big Group(“Company”) as a Software-as-a-Service (SaaS) solution. Subject to your compliance with these terms, the Company hereby grants you a non-exclusive, non-transferable license to access and use the Tool solely for your internal HR management purposes.
2. Scope of Use
- Authorized Use: The Tool is designed to help manage employee data, automate hiring processes (including ATS and machine learning components), and integrate with third-party systems (e.g., Google, job boards, QuickBooks).
- Restrictions: You are not permitted to resell, sublicense, distribute, or otherwise provide access to the Tool to any third party. Reverse-engineering, decompiling, or otherwise attempting to derive source code is strictly prohibited.
3. Intellectual Property
All intellectual property rights, including but not limited to software code, design, and content provided through the Tool, remain the exclusive property of the Company. No rights are transferred to you except for the limited license granted herein.
4. Data Ownership and Access
- Data Handling: You retain ownership of the data you input into the Tool. The Company processes, stores, and secures the data on your behalf.
- Data Operations: Authorized users can perform Create, Read, Update, and Delete (CRUD) operations on the data. Data backups and clearing of data may be performed according to your commands and the Company’s procedures.
5. Security
- Authentication: Access to the Tool requires user-level authentication, including secure login via authentication tokens.
- Encryption: Sensitive information (such as passwords and private data) is encrypted during storage and transmission.
- Additional Security Measures: The Tool employs two-factor authentication for integrated third-party services and logs IP addresses for security monitoring purposes.
6. Termination
- Termination for Breach: The Company reserves the right to terminate your access to the Tool immediately if you breach any part of this Agreement.
- User-Initiated Termination: You may terminate your account at any time, in which case any remaining data will be handled according to the Data Retention and Deletion policies described in the Privacy Policy.
7. Warranty and Liability
- Disclaimer: The Tool is provided “as is” without any warranties of any kind, whether express or implied.
- Limitation of Liability: In no event shall the Company be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Tool.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in Ontario.
9. Amendments
The Company reserves the right to update this Agreement periodically. Continued use of the Tool following any amendments constitutes acceptance of the updated terms.
